Terms and Conditions

Last updated: October 11, 2026

1. Acceptance of Terms

By accessing or using the Conxnext platform ("Service"), you agree to be fully bound by these Terms and Conditions. If you do not agree with any part of these terms, you must immediately discontinue use of the Service. Your continued use constitutes unconditional acceptance.

2. Description of Service

Conxnext provides a key access and vendor management platform that allows companies to manage property access, track vendor check-ins and check-outs, and maintain activity logs. The Service is a technology tool only and is provided "as is" and "as available" without warranties of any kind. Conxnext may update, modify, or discontinue the Service at any time without notice.

3. User Responsibilities

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials and PINs at all times.
  • Properly vetting, supervising, and managing all vendors and personnel granted access through the platform.
  • All activity that occurs under your account, whether authorized or not.
  • Ensuring lockbox codes, PINs, and access credentials are not shared with unauthorized individuals.
  • Immediately notifying Conxnext of any suspected unauthorized use of your account.
  • Using the Service only for lawful purposes and in compliance with all applicable laws and regulations.

4. Data, Photos & GPS

By using the Service, you acknowledge and consent that:

  • Photos uploaded during check-in are stored and may be reviewed by company administrators.
  • GPS location data is captured during check-in/check-out and stored in activity logs.
  • All activity logs are retained and accessible to authorized administrators.
  • You have obtained all necessary consents from any individuals whose data is collected through your use of the Service.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CONXNEXT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

6. Limitation of Liability — IMPORTANT

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CONXNEXT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

This includes, without limitation:

  • Unauthorized access to, theft from, or damage to any property — regardless of whether the Service was used in connection with such access.
  • Loss, theft, misuse, or duplication of keys, lockbox codes, or access credentials.
  • Any actions, omissions, negligence, or misconduct of vendors, workers, or any third parties using the Service.
  • Service interruptions, downtime, data loss, or security breaches beyond our reasonable control.
  • Any indirect, incidental, special, consequential, exemplary, or punitive damages, even if Conxnext has been advised of the possibility of such damages.
  • Property damage, personal injury, or financial loss of any kind resulting from reliance on the platform.

Conxnext is a technology platform only. We do not employ vendors, manage properties, or supervise any access activities. We assume absolutely no responsibility for the real-world actions of any person who uses this platform.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law. In no event shall our total aggregate liability exceed the amount you paid to use the Service in the twelve (12) months preceding the claim, or $100, whichever is less.

7. Property Access Disclaimer

Conxnext provides tools to manage and log property access but does not guarantee the security of any property. Companies are solely responsible for:

  • Properly vetting all vendors before granting access.
  • Setting and maintaining secure PINs and access protocols.
  • Monitoring and responding to activity logs in a timely manner.
  • Ensuring physical security measures (e.g., locks, lockboxes) are appropriate for their properties.

Conxnext is not liable for any unauthorized access, property damage, theft, vandalism, or any incident — whether or not the platform was used in connection with such an event.

8. Indemnification

You agree to indemnify, defend, and hold harmless Conxnext and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any claim by a third party related to your use of the Service.

9. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, all rights granted to you under these Terms will immediately cease.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Texas.

11. Accessibility

Conxnext is committed to making our Service accessible to all users. We strive to ensure our platform meets reasonable accessibility standards, including:

  • Mobile-first design compatible with screen readers and assistive technologies.
  • Sufficient color contrast and readable font sizes.
  • Keyboard-navigable interfaces where possible.

If you experience any accessibility barriers while using the Service, please contact us and we will make reasonable efforts to accommodate your needs. However, Conxnext does not warrant that the Service is fully compliant with any specific accessibility standard (e.g., WCAG 2.1) and shall not be liable for any accessibility-related claims.

12. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. Changes will be effective immediately upon posting. Continued use of the Service after any changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

13. SMS Terms & Conditions

When you request vendor access, you are shown an SMS consent checkbox that must be checked before your request can be submitted. By checking that box and submitting the request, you explicitly agree (opt in) to receive text (SMS) messages from Conxnext related to your account, such as key return reminders and other operational account notifications. Message frequency varies based on your activity. Message and data rates may apply. Consent to receive messages is not a condition of purchase.

  • Opting out: Reply STOP to any message to cancel future SMS communications. You will receive a confirmation, and no further messages will be sent unless you re-join.
  • Help: Reply HELP to any message or contact us through the Conxnext website for assistance.
  • Carrier liability: Carriers are not liable for delayed or undelivered messages.

We do not sell, share, or distribute your mobile information and messaging consent with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for details on how we handle your data.

14. Contact

If you have any questions about these Terms, please contact us through the Conxnext website.
